1. Agreement and Scope

These Terms & Conditions (“Terms”) govern your access to and use of the Forbidden Well website (forbiddenwell.com), your bookings and visits to our facility, and your use of any non‑clinical wellness and spa services coordinated through Forbidden Well (“Services”).

By accessing our website, booking an appointment, or receiving Services, you agree to be bound by these Terms. If you do not agree, do not use the website or Services.

Forbidden Well is a management services organization and luxury wellness brand. Any medical or clinical services are provided solely by independent professional medical practices and their licensed clinicians (collectively, “Professional Practices” and “Clinicians”). Forbidden Well does not practice medicine, does not employ Clinicians in a professional capacity, and does not provide professional medical services.

2. Nature of Services

2.1 Forbidden Well role (MSO)

  • Provides non‑clinical management, administrative, branding, marketing, facility, and support services.
  • Coordinates scheduling, check‑in, payment processing, and certain communications.
  • Offers non‑medical wellness and spa experiences as indicated on our site and at our facility.

2.2 Independent clinical services

  • Any medical evaluation, diagnosis, prescribing, injections, or other clinical treatment is performed solely by independent Professional Practices and their Clinicians.
  • Professional Practices are responsible for all clinical decisions, medical records, treatment protocols, and compliance with healthcare laws and standards of care.
  • No clinician‑patient relationship is formed with Forbidden Well. Any such relationship exists only between you and the applicable Clinician or Professional Practice.

3. Eligibility

You represent and warrant that:

  • You are at least the minimum age required to consent to services in your jurisdiction, or you are accompanied by a parent, guardian, or other authorized representative when required.
  • You have legal capacity to enter into these Terms.
  • Any information you provide during booking, intake, and service encounters is accurate, complete, and current.

Forbidden Well and Professional Practices may refuse, pause, or discontinue Services if eligibility, safety, legal, or operational concerns arise.

4. Non-Clinical vs. Clinical Services

4.1 Non-clinical wellness / spa services

Examples that may be offered as non‑medical services include:

  • Infrared sauna
  • Cryotherapy
  • Red light therapy
  • Massage and bodywork marketed as wellness/spa services
  • Certain skin and facial services presented as cosmetic or wellness experiences

These are provided or coordinated through Forbidden Well as non‑medical Services.

4.2 Clinical or medical components

Clinical components — such as medical assessment, prescribing, certain injections, or other regulated acts — are provided exclusively by Professional Practices and Clinicians. This may include, as applicable:

  • Evaluation of candidacy for specific treatments
  • Medical oversight of IV therapy, injections, hormone‑related protocols, or similar services
  • Prescription or adjustment of medications or controlled substances

Any questions or claims related to clinical decisions, medical judgment, or outcomes must be directed to the applicable Professional Practice or Clinician.

5. No Guarantee of Treatment or Results

Booking an appointment, completing intake, or making a payment does not guarantee you will be approved for any clinical service or specific protocol.

Clinicians and Professional Practices may determine that a treatment is not appropriate, must be modified, or should be discontinued.

No particular outcome, aesthetic result, weight change, or symptom improvement is guaranteed.

Marketing content, testimonials, and before/after materials illustrate possible experiences but do not promise specific results.

6. Your Responsibilities

You agree to:

  • Provide complete and accurate information in all forms and discussions, including health history, sensitivities, medications, and prior adverse events.
  • Follow pre‑service and post‑service instructions given at booking, in confirmations, and by staff or Clinicians.
  • Inform staff or the Clinician promptly of any changes in your health status that may affect Services.
  • Use the website and Services only for lawful purposes and in a respectful manner toward staff and other guests.

Forbidden Well and Professional Practices may decline or discontinue Services if you provide incomplete or misleading information or engage in inappropriate conduct.

7. Booking, Cancellations, and No-Shows

Specific financial and cancellation policies may be presented in writing at the time of booking, via confirmation communications, or in service‑specific policies at the facility. Those posted or signed policies control.

Unless otherwise stated in a written policy that applies to your booking:

  • A minimum notice period may be required to reschedule or cancel without incurring a fee or forfeiting a deposit.
  • Late cancellations, last‑minute rescheduling, and no‑shows may result in charges, forfeited deposits, or loss of a session in a package or membership.
  • Repeated cancellations or no‑shows may result in restrictions on future bookings.

For any service requiring special ordering, staffing, or preparation, more stringent cancellation rules may apply.

8. Fees, Payments, and Refunds

8.1 Fees and payment

Service fees, deposits, membership dues, package prices, and any additional charges will be disclosed at or before booking or purchase.

Payment is typically due at the time of booking, at the time of service, or as otherwise stated in the applicable policy.

You authorize Forbidden Well and its payment processors to charge your selected payment method for agreed amounts, including applicable taxes and fees.

If a payment is declined or reversed, we may:

  • Request an alternate payment method,
  • Suspend or cancel future bookings, or
  • Withhold access to Services until the balance is resolved.

8.2 Refunds

Unless a written policy states otherwise:

  • Fees for completed Services, professional time, consultations, and used or opened products are generally non‑refundable.
  • Prepaid packages and memberships may have limited or no cash refund options and may be subject to expiration or usage rules.
  • Custom‑ordered or specially prepared items (including certain products used in Services) are typically non‑refundable once purchased or allocated to your session.

Any exceptions to these rules are at the discretion of Forbidden Well (for non‑clinical fees) or the relevant Professional Practice (for clinical components) and to the extent required by applicable law.

9. Memberships, Packages, and Promotions

Memberships, series, packages, and promotional offers may be subject to additional written terms covering:

  • Eligibility and enrollment
  • Billing cycles and renewal terms
  • Included services and limitations
  • Transferability, expiration, and cancellation rules
  • Promotional blackout dates or restrictions

If there is a conflict between these Terms and specific membership or promotional terms, the more specific written terms applicable to that offering will control for that offering.

10. Communications and SMS

By providing contact information, you consent to receiving transactional communications regarding:

  • Appointment confirmations and reminders
  • Service instructions and follow‑up
  • Billing or account‑related notices
  • Changes, closures, or policy updates

Where you expressly opt in to marketing communications, you may receive promotional emails or texts. You can:

  • Unsubscribe from marketing emails using the link provided in those messages.
  • Opt out of marketing texts by replying “STOP” to any such message.

Opting out of marketing messages does not prevent us from sending important transactional or account‑related communications where allowed by law.

11. Website Use and Content

You agree not to:

  • Attempt to disrupt or compromise the security or integrity of the website or systems.
  • Use automated methods (scrapers, bots) in a way that burdens or interferes with site operation.
  • Upload or transmit any harmful, unlawful, or infringing content.

All content on the website — including text, images, logos, and design — is owned by or licensed to Forbidden Well and is protected by intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from the content except as necessary for personal, non‑commercial use of the website.

12. Third-Party Services and Links

The website and Services may integrate or interact with third‑party platforms (for example, scheduling, payment processing, messaging, analytics, or social media) and may link to third‑party websites. Forbidden Well is not responsible for:

  • The content, policies, or practices of those third parties; or
  • Any downtime, service issues, or data practices of those external providers.

Use of third‑party services is subject to their own terms and privacy policies.

13. Disclaimers

To the fullest extent permitted by law:

  • The website and non‑clinical Services coordinated by Forbidden Well are provided “as is” and “as available,” without warranties of any kind, whether express or implied.
  • Forbidden Well disclaims all implied warranties, including merchantability, fitness for a particular purpose, title, and non‑infringement, with respect to the website and non‑clinical Services.
  • Nothing in these Terms limits any non‑waivable rights or obligations under applicable consumer or health‑care law.

Any representations or warranties related to clinical care, if provided, are the responsibility of the Professional Practices and Clinicians, not Forbidden Well.

14. Limitation of Liability

To the maximum extent permitted by law:

  • Forbidden Well and its owners, officers, employees, and agents are not liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost revenue, or lost data, arising out of or relating to your use of the website or non‑clinical Services.
  • For any claim related to the website or non‑clinical Services provided by or through Forbidden Well, the total aggregate liability of Forbidden Well will not exceed the total amount you paid to Forbidden Well for the specific non‑clinical Service giving rise to the claim during the 12 months prior to the event.
  • Claims arising from or relating to clinical care, medical judgment, diagnosis, or treatment must be directed to the applicable Professional Practice or Clinician, as Forbidden Well does not provide medical services.

Some jurisdictions do not allow certain limitations of liability; in such cases, these limitations apply to the fullest extent permitted by law.

15. Indemnification

You agree to indemnify, defend, and hold harmless Forbidden Well and its owners, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your breach of these Terms;
  • Your misuse of the website or non‑clinical Services;
  • Your violation of any applicable law or third‑party right.

This obligation survives termination of your use of the website and Services.

16. Governing Law and Venue

These Terms are governed by the laws of the State of New York, without regard to its conflict‑of‑laws principles, except to the extent preempted by applicable federal law.

Unless a separate dispute‑resolution agreement applies, any dispute arising out of or relating to these Terms or the website or non‑clinical Services shall be brought exclusively in the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction and venue of those courts.

17. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date at the top of this page. The updated Terms are effective when posted unless stated otherwise.

Your continued use of the website or Services after updated Terms are posted constitutes your acceptance of those changes.
